You agree to:

• Notify us immediately of unauthorized access
• Be responsible for all activities under your account

Morvra is not responsible for losses resulting from unauthorized access caused by your failure to maintain account security.

3. License and Access Rights

Subject to these Terms and your compliance with them, Morvra grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services.

No ownership rights are transferred to you.

All rights not expressly granted remain reserved by Morvra.

4. Subscriptions and Billing

By purchasing a subscription, you authorize Morvra or its payment providers to charge the applicable fees.

• One-time purchases (where applicable)

Subscriptions automatically renew unless canceled before the renewal date.

Prices may change in the future. Any pricing changes will not affect an already active billing period.

5. Refund Policy

Refund eligibility is governed by Morvra's Refund Policy.

Certain purchases, promotions, credits, AI usage packages, or enterprise contracts may be non-refundable unless required by applicable law.

6. Morvra AI Services

Morvra may provide AI-powered features including:

• PDF Analysis
• Document Summarization
• Translation
• Research Assistance
• Content Generation
• Workflow Automation

AI-generated content may be inaccurate, incomplete, outdated, or unsuitable for your intended purpose.

You are solely responsible for reviewing and validating AI-generated outputs before relying upon them.

Morvra does not guarantee the accuracy of AI-generated content.

7. Acceptable Use

You agree not to:

• Violate any law or regulation
• Upload unlawful, harmful, defamatory, or fraudulent content
• Distribute malware or malicious code
• Attempt unauthorized access to Morvra systems
• Reverse engineer or exploit the Services
• Use automated systems to abuse the Services
• Circumvent subscription or usage limitations
• Resell access without written authorization

Morvra reserves the right to suspend or terminate accounts that violate these rules.

8. AI Usage Restrictions

You may not use Morvra AI:

• For fully automated high-volume processing that exceeds normal human usage
• To generate illegal, harmful, deceptive, or infringing content
• To conduct spam campaigns
• To perform unauthorized surveillance activities
• To attempt extraction of model parameters, prompts, or security controls

Morvra may impose fair-use limits on AI features to ensure service availability and system stability.

Excessive or abusive usage may result in throttling, suspension, or termination.

9. Cloud Storage and User Content

You retain ownership of the files, documents, and content you upload to Morvra.

You grant Morvra a limited license to process, store, transmit, and display your content solely for the purpose of operating the Services.

Morvra does not claim ownership of your content.

You are responsible for ensuring that your content does not violate applicable laws or third-party rights.

10. Third-Party Services

Morvra may integrate with third-party services including:

• Google Drive
• Dropbox
• Microsoft OneDrive
• Stripe
• PayPal
• OpenAI
• Anthropic
• Google AI Services

Your use of those services is governed by their respective terms and privacy policies.

Morvra is not responsible for third-party services or their availability.

11. Intellectual Property

The Services, software, source code, design, trademarks, logos, documentation, and related materials are owned by Morvra or its licensors.

You may not:

• Copy
• Modify
• Redistribute
• Reverse engineer
• Create derivative works

Except where expressly permitted by applicable law.

The name "Morvra" and related logos are protected intellectual property.

12. Software Updates

Morvra may automatically provide updates, patches, bug fixes, security improvements, and feature enhancements.

Continued use of the Services may require installation of such updates.

13. Availability of Services

We strive to maintain reliable Services but do not guarantee uninterrupted availability.

Services may occasionally be unavailable due to:

• Maintenance
• Upgrades
• Security incidents
• Third-party failures
• Force majeure events

Morvra shall not be liable for temporary interruptions.

14. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE."

Morvra disclaims all warranties, whether express, implied, statutory, or otherwise, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy
• Reliability

Your use of the Services is at your own risk.

15. Limitation of Liability

To the maximum extent permitted by law, Morvra shall not be liable for:

• Indirect damages
• Consequential damages
• Lost profits
• Lost revenue
• Loss of business
• Loss of data

Morvra's total liability arising out of or relating to the Services shall not exceed the amount paid by you to Morvra during the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Morvra, its affiliates, officers, employees, and partners from any claims, liabilities, damages, losses, and expenses arising from:

Morvra may suspend or terminate access to the Services if:

Upon termination, rights granted under these Terms immediately cease.

Updated versions will be published on the Morvra website.

Continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
